Welcome to pixmatch. These Terms and Conditions ("Terms") govern your access to and use of the pixmatch platform ("Platform", "Service", "we", "us", or "our"). By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account, accessing, or using pixmatch, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users of the Platform, including clients seeking photography services and photographers offering their services.

If you do not agree to these Terms, you must not use our Platform. We reserve the right to modify these Terms at any time. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.

2. Description of Service

pixmatch is a platform that connects clients with professional photographers across India. Our Service allows:

• Clients to search, discover, and book photographers for various photography needs
• Photographers to create profiles, showcase portfolios, and receive booking inquiries
• Users to communicate, share information, and facilitate photography service transactions

pixmatch acts as an intermediary platform. We do not provide photography services directly, nor do we employ photographers. All photography services are provided by independent photographers who are responsible for their own work, pricing, and service delivery.

3. User Accounts

3.1 Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Types

You may register as either a Client or a Photographer. You may not maintain multiple accounts or misrepresent your identity or qualifications.

3.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, or any other reason we deem necessary to protect the Platform and its users.

4. Photographer Obligations

If you register as a Photographer, you agree to:

• Provide accurate information about your qualifications, experience, and services
• Maintain professional standards and deliver services as described in your profile
• Respond promptly to booking inquiries and client communications
• Honor confirmed bookings and provide reasonable notice for cancellations
• Obtain all necessary permits, licenses, and insurance required for your services
• Comply with all applicable laws and regulations
• Respect client privacy and maintain confidentiality
• Deliver photography services in a professional and timely manner

Photographers are independent contractors, not employees of pixmatch. You are solely responsible for your own taxes, insurance, and business operations.

5. Client Obligations

If you use the Platform as a Client, you agree to:

• Provide accurate information when submitting booking requests
• Communicate clearly and respectfully with photographers
• Honor confirmed bookings and provide reasonable notice for cancellations
• Pay photographers according to agreed-upon terms
• Provide necessary access and cooperation for photography sessions
• Respect photographer's time, equipment, and professional boundaries
• Provide honest and constructive reviews based on actual experiences

6. Bookings and Payments

6.1 Booking Process

Bookings are made directly between Clients and Photographers. pixmatch facilitates the connection but is not a party to the service agreement. All terms, including pricing, deliverables, and timelines, are agreed upon between the Client and Photographer.

6.2 Payment

Payment for photography services is handled directly between Clients and Photographers. pixmatch does not process payments or charge commission fees. Payment terms, methods, and schedules are determined by the parties involved.

6.3 Cancellations and Refunds

Cancellation and refund policies are determined by individual Photographers. Clients should review cancellation terms before confirming bookings. pixmatch is not responsible for refunds or disputes regarding payments between Clients and Photographers.

7. Intellectual Property

7.1 Platform Content

All content on the Platform, including text, graphics, logos, images, and software, is the property of pixmatch or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of content you upload to the Platform ("User Content"). By uploading User Content, you grant pixmatch a worldwide, non-exclusive, royalty-free license to use, display, and distribute your User Content on the Platform for the purpose of operating and promoting the Service.

7.3 Photography Rights

Copyright and usage rights for photographs taken by Photographers are determined by agreements between Clients and Photographers. pixmatch does not claim ownership of photographs created through the Platform.

8. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal or unauthorized purpose
• Violate any laws or regulations in your use of the Platform
• Infringe upon intellectual property rights of others
• Upload content that is defamatory, obscene, harassing, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any portion of the Platform
• Use automated systems to access the Platform without permission
• Circumvent payment systems or engage in fraudulent transactions
• Harass, abuse, or harm other users

9. Reviews and Ratings

Users may submit reviews and ratings about their experiences. You agree that:

• Reviews must be based on actual experiences with the Platform or services
• Reviews must be truthful and not contain false or misleading information
• You will not post reviews for services you have not received
• You will not manipulate or artificially inflate ratings
• pixmatch reserves the right to remove reviews that violate these Terms

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. pixmatch DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Accuracy, reliability, or completeness of information on the Platform
• Quality, safety, or legality of photography services provided by Photographers
• Continuous, uninterrupted, or error-free operation of the Platform

pixmatch does not endorse, guarantee, or assume responsibility for any services provided by Photographers or interactions between users.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, pixmatch SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Platform
• Disputes between Clients and Photographers
• Actions or omissions of Photographers or Clients

Our total liability to you for all claims arising from or related to the Platform shall not exceed the amount you paid to pixmatch in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless pixmatch, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

13. Dispute Resolution

13.1 User Disputes

Disputes between Clients and Photographers should be resolved directly between the parties. pixmatch may, but is not obligated to, assist in resolving disputes. However, pixmatch is not responsible for the outcome of any disputes.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.3 Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 2015, conducted in India. You waive any right to a jury trial or to participate in a class action lawsuit.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

15. Termination

You may terminate your account at any time by contacting us or using account deletion features. We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms or for any other reason we deem necessary.

Upon termination, your right to use the Platform will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and pixmatch regarding the Platform.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
